Present: Sharon Fairchild, President, Georgia Heth, Vice President,, Shirley Seals, Secretary/Treasurer; Jerry Fleming and Marsha Bernstein, Trustees.

Also Present: James Sternberg, incoming Trustee; and Kelley McGuire.

Sharon Fairchild called the meeting to order at 10 a.m. Friday, November 21, 2008.

President Fairchild welcomed incoming trustee James Sternberg to the meeting.

Minutes

The minutes of the March 7, 2008 meeting in Detroit, MI are approved as corrected.

Present: Georgia Heth, Vice President, Shirley Seals, Secretary/Treasurer; Jerry Fleming and Marsha Bernstein, Trustees.
Carried unanimously.

Treasurer's Report

Shirley Seals presented the Treasurer's report. Attachment A

Seals also noted that we are certified with the State of Tennessee.

Old Business

Fleming will be working on the new design for the Charity Foundation web site. A deadline of December 31, 2008 has been issued.

New Business

It was moved and seconded that the Charity Foundation will change their auditors from Jackson Howell and Associates to Watkins, Uiberall Certified Public Accountants for the 2008 year.

Grant

A. Dystonia Medical Research Foundation proposal for an interactive children's DVD and new children's section of the DMRF web site is denied.

Carried unanimously.

B. Westchester County Chapter Juvenile Diabetes Research Foundations request for financial support for JDRF is denied.

Carried unanimously.

C. Alzheimer's Association is awarded $10,000 for their research program.

Carried unanimously.

D. Camp Quality USA is awarded $10,000, to help subsidize educational costs.

Carried. Abstain: Seals

New Business

A. District Directors $1,000 charity donation: It was moved and seconded that the program would continue for 2009. Directors have until November 15 of each year to receive their grants. The sum can be divided into no more than four separate grants, no individual check should be less than $100, each of which must be made to a qualified 501 (c)(3) organization.

Carried unanimously.

B. Moved and seconded that the Trustees grants will expire by November 30 of each year unless the Trustee has requested an exception for a one year role over by November 30.

Carried unanimously.

C. In Boston, MA the Foundation awarded the Habitat for Humanity of Great Boston $5,000 which was selected as the local NABC charity.

Carried unanimously.

Election of Officers

Moved and seconded that Sharon Fairchild is re-elected President for a one-year term beginning January 1, 2009 through December 31, 2009.

Carried unanimously.

Moved and seconded that Georgia Heth is re-elected Vice President for a one-year term beginning January 1, 2009 through December 31, 2009.

Carried unanimously.

Moved and seconded that Shirley Seals is re-elected Secretary/Treasurer for a one-year term beginning January 1, 2009 through December 31, 2009.

Carried unanimously
